This Referral Agreement (“Agreement”) is entered into by and between the undersigned parties and shall be effective as of the date of signature by both parties (the “Effective Date”). This Agreement sets forth the terms and conditions under which one party (the “Referrer”) may refer potential clients or leads to the other party (the “Recipient”).
1.1. Either party may refer potential clients or business leads (“Leads”) to the other by submitting a Referral Form via email or other mutually agreed methods.
1.2. The Recipient shall acknowledge receipt and confirm acceptance or rejection of each referred Lead within seven (7) calendar days.
1.3. The Recipient shall notify the Referrer promptly upon successful conversion of any Lead into a paying client.
2.1. Upon the successful conversion of a referred Lead, the Recipient shall pay the Referrer a referral fee as follows:
2.2. The Recipient shall provide a monthly referral statement summarizing all clients referred and converted under this Agreement.
2.3. Referral fees shall become due and payable upon completion of the assignment for which the fee is generated.
3.1. This Agreement shall remain in effect from the Effective Date until terminated by either party.
3.2. Either party may terminate this Agreement at any time by giving thirty (30) days’ written notice to the other party.
3.3. All obligations related to previously referred and converted clients shall survive termination until fully paid and settled.
4.1. All information shared by the Referrer regarding prospective Leads shall be treated as strictly confidential.
4.2. The Recipient shall not disclose such information to any third party without prior written consent, unless required by applicable law.
4.3. Both parties agree not to disclose any confidential business information or the terms of this Agreement to external parties.
4.4. Neither party shall solicit or entice clients introduced by the other party for a period of twelve (12) months following the termination of this Agreement.
5.1. This Agreement does not create a partnership, joint venture, or employer-employee relationship between the parties.
5.2. Neither party shall have authority to make representations or incur obligations on behalf of the other.
5.3. Each party shall act as an independent entity in performing their respective obligations under this Agreement.
6.1. This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein.
6.2. No amendments or modifications shall be valid unless made in writing and signed by both parties.
6.3. Any previous agreements, whether written or oral, are superseded by this Agreement.
7.1. This Agreement shall be governed by and interpreted in accordance with the laws of the United Arab Emirates (UAE).
7.2. In the event of any dispute, the parties shall attempt to resolve the matter amicably.
7.3. Failing amicable resolution, any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Dubai.
